Terms and Conditions

Welcome to Waitlist. These Terms and Conditions ("Terms") govern your access to and use of the Waitlist platform, including our website, mobile applications, and appointment scheduling services (collectively, the "Platform"). Waitlist is operated by Waitlist Ltd., a company registered in Israel.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

Definitions

  • "Company", "we", "us", or "our" refers to Waitlist Ltd. and its affiliated entities.
  • "User" or "you" refers to any individual or business entity that accesses or uses the Platform.
  • "Business User" refers to service providers who use Waitlist to manage appointments with their customers.
  • "End User" refers to customers who book appointments through Business Users via the Platform.
  • "Customer Data" refers to all data related to End Users, including personal information, appointment details, treatment records, and payment information stored on the Platform.
  • "Content" refers to any information, data, text, images, or other materials submitted to the Platform.
  • "Software" refers to the Waitlist SaaS (Software as a Service) application and all related technologies.

Eligibility

To use Waitlist, you must be at least 18 years old and legally capable of entering into binding contracts under Israeli law. By using the Platform, you represent and warrant that you meet these requirements.

Account Registration and Security

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your username and password ("Login Credentials").
  • You must notify us immediately of any unauthorized access to your account or any security breach.
  • You may not share your Login Credentials or transfer your account to another person without our written consent.
  • You bear full responsibility for all activities performed under your Login Credentials.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

Platform Description

Waitlist provides an AI-powered appointment scheduling and business management platform that enables:

  • Online booking and scheduling of appointments
  • Customer queue management and waitlist functionality
  • Automated reminders and notifications via SMS, WhatsApp, and email
  • Customer relationship management and history tracking
  • Payment processing and invoicing
  • Analytics, reporting, and business insights
  • Integration with third-party calendar and payment services

License to Use the Software

Subject to your compliance with these Terms and your Order Form (if applicable), we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software during your subscription period.

You may not:

  • Copy, modify, distribute, or create derivative works of the Software
  • Reverse engineer, disassemble, or decompile any part of the Software
  • Sublicense, rent, lease, or lend access to the Software
  • Remove or alter any proprietary notices or labels on the Software
  • Use the Software to develop competing products or services

Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Platform
  • Collect or harvest user information without proper consent
  • Send spam, unsolicited communications, or marketing messages without authorization
  • Use the Platform to discriminate against any individual or group
  • Impersonate another person or entity
  • Violate any third-party rights, including intellectual property rights
  • Use the Platform in a manner that could damage our reputation

Appointment Scheduling

For Business Users

  • You are responsible for setting accurate availability, service descriptions, and pricing.
  • You must honor appointments booked through the Platform unless cancelled in accordance with your stated policy.
  • You are responsible for establishing, communicating, and enforcing your cancellation and refund policies to End Users.
  • You must comply with all applicable laws regarding the services you provide.
  • You acknowledge that the Platform is a tool to assist your business operations and does not replace professional advice or judgment.

For End Users

  • You agree to provide accurate contact information when booking appointments.
  • You agree to arrive on time for scheduled appointments.
  • You are subject to the Business User's cancellation and no-show policies.
  • You understand that the Company is not responsible for the quality or outcome of services provided by Business Users.

Customer Data

Business User Responsibilities

As a Business User, you acknowledge that you are the data controller for Customer Data collected through your use of the Platform. You are responsible for:

  • Obtaining proper consent from End Users to collect and process their data
  • Complying with the Israeli Privacy Protection Law, 5741-1981 and all applicable data protection regulations
  • Registering and managing your database as required by law
  • Providing End Users with information about data collection and their rights

Our Role

We act as a data processor for Customer Data on your behalf. We will:

  • Process Customer Data only as necessary to provide the Platform services
  • Not share Customer Data with other Business Users
  • Implement appropriate security measures to protect Customer Data
  • Assist you in fulfilling data subject rights requests

Fees and Payment

Subscription Plans

Waitlist offers various subscription plans with different features and pricing. Details of current plans and pricing are available on our website or in your Order Form.

Payment Terms

  • Subscription fees are billed in advance on a monthly or annual basis as selected.
  • Payment is due on the 1st of each month for monthly subscriptions.
  • All fees are quoted in Israeli Shekels (₪) or US Dollars ($) unless otherwise specified.
  • You authorize us to charge your payment method automatically for recurring payments.
  • We reserve the right to modify pricing with 30 days' prior notice.

Late Payments

If payment is not received within 7 days of the due date, we may:

  • Suspend your access to the Platform
  • Charge interest on overdue amounts at the maximum rate permitted by law
  • Pursue collection through legal means

Taxes

All fees are exclusive of applicable taxes. You are responsible for any VAT, sales tax, or other taxes imposed by applicable laws.

Cancellation and Refund Policy

In accordance with the Israeli Consumer Protection Law, 5741-1981:

  • You may cancel your subscription within 14 days of purchase for a full refund, minus reasonable transaction costs, provided you have not substantially used the service.
  • After 14 days, you may cancel at any time by providing 30 days' written notice.
  • Upon cancellation, your subscription will remain active until the end of the current billing period.
  • To cancel, contact us at [email protected] or through your account settings.
  • Refunds will be processed within 14 business days using your original payment method.

Marketing Communications

By using the Platform, you may choose to receive marketing communications from us, including newsletters, promotional offers, and product updates. You may opt out at any time by:

  • Clicking the unsubscribe link in any marketing email
  • Contacting us at [email protected]
  • Adjusting your preferences in account settings

Even if you opt out of marketing communications, we may still send you service-related notifications as permitted by law.

Intellectual Property

Our Rights

The Platform, including all software, designs, text, graphics, logos, and other content, is owned by Waitlist Ltd. and protected by Israeli and international intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

Your Content

You retain ownership of Content you submit to the Platform. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such Content solely for the purpose of providing the Platform services.

You represent that you have all necessary rights to submit Content and that it does not infringe any third-party rights.

Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information in accordance with the Israeli Privacy Protection Law, 5741-1981.

Third-Party Services

The Platform may integrate with third-party services such as Google Calendar, payment processors, and communication platforms. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.

Support Services

During your subscription period, we provide:

  • Email support at [email protected] with response within 48 hours
  • Technical documentation and help resources
  • Platform maintenance and updates

Support is available Sunday through Thursday, 9:00 AM to 6:00 PM Israel time, and Friday 9:00 AM to 1:00 PM. Support is unavailable on Shabbat and Israeli holidays.

Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Platform will be accurate or reliable
  • Any errors in the Platform will be corrected
  • The Platform will meet your specific requirements

The Platform is a tool to assist your business operations. We are not responsible for business decisions you make based on Platform data or recommendations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY ISRAELI LAW, WAITLIST LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.

Our total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

These limitations apply regardless of the form of action, whether in contract, tort, strict liability, or otherwise.

Indemnification

You agree to indemnify, defend, and hold harmless Waitlist Ltd., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your Content or Customer Data
  • Services you provide to End Users
  • Any dispute between you and an End User

Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last updated" date
  • Sending an email notification for significant changes

Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

Termination

By You

You may terminate your account at any time by providing written notice as described in the Cancellation section.

By Us

We may suspend or terminate your access to the Platform:

  • Immediately, if you breach these Terms
  • Immediately, if you fail to pay amounts due
  • With 30 days' notice, for any other reason

Effect of Termination

Upon termination:

  • Your right to use the Platform ceases immediately
  • You must pay any outstanding amounts
  • We may delete your account and Content after 30 days
  • Provisions that by their nature should survive termination will remain in effect

Data Export

Upon request made within 30 days of termination, we will provide you with an export of your Customer Data in a standard format. After this period, we may delete all your data.

Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails within 30 days, the dispute shall be submitted to binding arbitration in accordance with the Israeli Arbitration Law, 5728-1968.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any legal proceedings shall be conducted exclusively in the competent courts of Tel Aviv-Jaffa, Israel.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy and any applicable Order Form, constitute the entire agreement between you and Waitlist Ltd. regarding the Platform and supersede all prior agreements and understandings.
